ALIBABA Seller Service Agreement Effective Date: December 31, 2020
Seller Notice: Sellers must ship orders within 72 hours to avoid deducting store reputation points. Failure to do so within 72 hours will result in reputation point deduction and the payment of a security deposit.
For the sake of ALIBABA's service quality and consumer interests, please do not intentionally cancel or postpone orders. Your store will be banned when your reputation score reaches 12 points.
If your store does not list any products, or if your store has no products for an extended period, your store's operating rights will be suspended. A security deposit will be required for future operations.
Terms and Conditions Welcome to sign this "ALIBABA Seller Service Agreement" (hereinafter referred to as "this Agreement") with the ALIBABA Seller Service Provider (see Definitions) and use ALIBABA Seller Services!
Before using ALIBABA Seller Services (hereinafter referred to as "this Service"), you should read and agree to abide by this Agreement, which includes the main text and attachments, the "Consumer Protection Service Agreement," and all ALIBABA-related rules (see Definitions).
This agreement is a revised and split version of the "ALIBABA Platform Service Agreement." From the date of its publication, all references to the "ALIBABA Platform Service Agreement" and related content concerning ALIBABA sellers throughout ALIBABA refer to this agreement.
The index keywords listed before each service clause are solely for your understanding of the main points expressed in that clause and do not affect or limit the meaning or interpretation of the clauses in this agreement. To protect your own rights, we recommend that you carefully read the specific wording of each clause.
【Careful Reading】Before clicking "Agree" to this agreement during the store creation process, you should carefully read the entire contents of this agreement (especially the clauses regarding exemption or limitation of liability, termination of the agreement, liability for breach of contract, dispute resolution, etc.). If you have any questions about the agreement, you can consult ALIBABA customer service, and ALIBABA will explain the contents of the clauses to you.
【Signing Action】When you click to sign this agreement online, it indicates that you have fully read, understood, and accepted all the contents of this agreement, and this agreement becomes legally binding between you and ALIBABA. If you do not agree to any content of this agreement or cannot accurately understand the meaning and interpretation of the clauses, please immediately stop the store creation process or cease store operations.
I. Definitions
ALIBABA: Refers to the e-commerce platform website ALIBABA provides internet information services and related software and technical support to (ALIBABA may modify from time to time as needed, including the URL of the website on computers or mobile devices).
Seller: Refers to the legal entity that sells goods or services on ALIBABA, and may also be referred to as "you" in this agreement.
Consumer: Refers to any natural person or organization that shops on ALIBABA and uses the purchased goods or services for consumption, and may also be referred to as "buyer".
ALIBABA Seller Service Provider: May be referred to individually or collectively as "ALIBABA" in this agreement.
Seller Services: Refers to the internet information services and related software services provided by ALIBABA to sellers on ALIBABA, wherein the internet information services and related software services are provided by ALIBABA. All services under this agreement are provided and terminated simultaneously; sellers may not subscribe to or use them separately.
Rules: Refers to all rules, implementation details, interpretations, product process descriptions, announcements, etc., published and subsequently published in all ALIBABA rule channels, forums, help centers, and other sections.
Same User: Users using the same identity authentication information or whose multiple accounts are determined by ALIBABA to be controlled by the same person are considered the same user.
II. Scope and Validity of the Agreement
2.1 [Scope of the Agreement] This agreement includes the main text and attachments, the "Consumer Protection Service Agreement," and all relevant rules that ALIBABA has published or subsequently published and legally notified to you. ALIBABA's relevant rules are an integral part of this agreement and have the same legal effect as the main text. Your use of ALIBABA's seller services constitutes your agreement to all contents of this agreement. Unless otherwise stated or signed, any expansion of the service scope or enhancement of software functions by ALIBABA for the purpose of improving consumer and seller experience, upgrading platform services, etc., shall be subject to this agreement.
III. Seller Services and Standards
3.1 Account Use and Information Submission
3.1.1 [Account Use] You must log in to ALIBABA using your ALIBABA platform account while using the seller services. You should properly safeguard your account and password information. Because your account is linked to your personal information and ALIBABA business information, your account is for your personal use only. Without ALIBABA's consent, any direct or indirect authorization you give to a third party to use your ALIBABA account or obtain information under your account is invalid. Except where ALIBABA is at fault, you are responsible for all actions taken under your account (such as signing agreements online, publishing and disclosing information, etc.), and all actions completed through your account are considered your own actions or actions fully authorized by you. If ALIBABA determines, based on the breach of contract determination procedures and standards stipulated in ALIBABA's rules, that the use of your account may endanger your account security and/or the information security of the ALIBABA platform, ALIBABA may refuse to provide the corresponding services or terminate this agreement.
3.1.2 [Information Submission] To use the services under this agreement, you must submit relevant information and supporting documents in accordance with applicable laws and regulations, ALIBABA's relevant rules, page prompts, etc. You understand and agree that you are obligated to ensure that the information and materials you provide are true, legal, accurate, and valid, and must be updated promptly if any changes occur. Based on applicable laws and regulations, platform management requirements, etc., you agree that ALIBABA may conduct random checks on the information and supporting documents you submit from time to time and request you to submit more information or supporting documents for the aforementioned purposes. You understand and acknowledge that ALIBABA reviews seller information, supporting documents, store creation, and category posting permissions applications based solely on general public understanding. Except as otherwise provided by law, ALIBABA is not liable for any losses incurred by sellers due to reliance on the review results.
3.2 Store Management
3.2.1 [Store Creation] By creating a store on ALIBABA, you can post information about new or used goods and/or services and conduct transactions with other users. Based on ALIBABA's management needs, you understand and acknowledge that a single user can only open one store on ALIBABA. ALIBABA may close any other stores you simultaneously open on ALIBABA, unless otherwise stipulated in ALIBABA's relevant rules.
3.2.2 [Change of Store Operator] Due to the inseparable nature of the store and account, changing the store operator is essentially a transfer of the store operator's account. The relevant requirements and restrictions for changing the store operator are governed by Article 3.2 of the ALIBABA Platform Service Agreement, which stipulates that because the store is linked to your and ALIBABA's business information and may involve consumer interests, you may only change the store operator if there is a legal provision, judicial ruling, or ALIBABA's consent, and the conditions and procedures for changing the store operator stipulated in ALIBABA's rules are met. Once your store operator is successfully changed, all rights and obligations under your account are transferred. Otherwise, your store/account may not be transferred in any way; otherwise, ALIBABA may terminate services to that account and has the right to pursue your liability for breach of contract, and you shall bear all resulting liabilities and consequences.
3.2.3 [Store Closure] If you temporarily close your store by removing all products, you shall continue to be responsible for transaction protection responsibilities such as shipping, returns and exchanges, warranty repairs, and handling of consumer complaints for transactions completed before the store closure. If your store has no items for sale for a certain period, ALIBABA may close your store in accordance with ALIBABA rules. Closing your store according to the above agreement will not affect your accumulated credit.
3.3 Sales and Promotion of Goods and/or Services
(i) Violating prohibitions of national laws and regulations;
(ii) Political propaganda, feudal superstition, obscenity, pornography, gambling, violence, terrorism, or incitement to crime;
(iii) Fraudulent, false, inaccurate, or misleading;
(iv) Infringing on the intellectual property rights of others or involving third-party trade secrets and other proprietary rights;
(v) Insulting, defaming, threatening, or infringing on the legitimate rights and interests of others, such as involving their privacy;
(vi) Containing viruses, Trojans, web crawlers, or other malicious software or program code that may damage, tamper with, delete, or affect the normal operation of any ALIBABA system or unauthorized secret acquisition of ALIBABA and other users' data and personal information;
(vii) Other content that violates public interests or public morality, or is unsuitable for publication on ALIBABA according to relevant ALIBABA agreements and rules.
3.3.3 [Prohibited Sales Scope] You must ensure that you have the corresponding rights to the goods and/or services you post on ALIBABA. You may not sell the following goods and/or provide the following services on ALIBABA:
(i) Goods prohibited or restricted by the state;
(ii) Goods that infringe upon the intellectual property rights or other legitimate rights of others;
(iii) Goods that are explicitly stated in ALIBABA rules, announcements, notices, or separate agreements signed between you and the platform as unsuitable for sale or/or provision on ALIBABA.
You must maintain a healthy competitive order in the ALIBABA market, and may not disparage or defame competitors, interfere with any transactions or activities conducted on ALIBABA, enhance or attempt to enhance your own credit rating in any improper manner, or interfere or attempt to interfere with the normal operation of ALIBABA in any way.
3.3.4 [Tax Payment According to Law] Paying taxes according to law is the obligation of every citizen and enterprise. You should promptly apply to the platform for any sales/turnover exceeding the statutory tax exemption threshold, and the platform will pay taxes on your behalf.
3.4 Consumer Protection
【Responsible Entity】You understand and agree that, as the responsible entity for consumer protection, you shall fulfill all consumer protection obligations in accordance with relevant laws and regulations, the Consumer Protection Service Agreement, and relevant ALIBABA rules, including basic consumer protection services such as accurate product descriptions and payment of security deposits, as specifically stipulated in the Consumer Protection Service Agreement and relevant ALIBABA rules.
3.5 Transaction Dispute Resolution
【Transaction Dispute Resolution Methods】If a dispute arises between you and other users during an ALIBABA transaction, you or any other user may choose to resolve the dispute through the following methods:
(i) Self-negotiation with the opposing party;
(ii) Using ALIBABA's dispute resolution service;
(iii) Submitting to arbitration in accordance with an arbitration agreement reached with the opposing party (if any);
【Platform Mediation Service】If you use ALIBABA's dispute resolution service in accordance with ALIBABA rules, it indicates that you acknowledge and agree to comply with the mediation decision made by ALIBABA's customer service or public reviewers (“Mediators”) as independent third parties based on the facts of the dispute and in accordance with ALIBABA rules (including adjusting the transaction status of relevant orders, determining whether to pay all or part of the disputed amount to one or both parties). If you are not satisfied with the mediation decision, you still have the right to resolve the dispute through other dispute resolution methods, but you must comply with the mediation decision before a final decision is reached through other dispute resolution methods. 3.6 Data Use and Information Authorization
3.6.1 [General Requirements] ALIBABA respects and legally protects the data rights of you and other relevant parties regarding the data generated during your use of this service. Under this premise, the rights to the data collected and recorded by ALIBABA during your use of this service and other ALIBABA operations belong to ALIBABA and are ALIBABA's trade secrets. Without ALIBABA's prior written consent, you may not use the aforementioned data for purposes other than those stipulated in this agreement or provide the aforementioned data to others in any form.
3.6.2 [Trade Secrets] ALIBABA respects and protects sellers' trade secret information, such as the transaction volume of a seller's store, the transaction volume of a certain category or a certain product. To promote sellers' stores or their products, ALIBABA may publicly disclose your store's total transaction volume or the transaction volume of a certain category or a certain product during your participation in official ALIBABA marketing activities (including "Double Twelve"), and may also use the above information for promotional purposes.
3.6.3 [Authorized Use] To the extent permitted by law, for the purpose of promoting related products and/or related brands, you agree to grant ALIBABA the free right to copy (e.g., display simultaneously on multiple clients), modify (e.g., make minor adjustments to adapt to mobile visual experience), adapt (e.g., add overall platform activity design elements), translate (e.g., translate to meet the browsing needs of overseas users) all information (including product trademarks, logos, text, images, etc.) that you display on ALIBABA's relevant display and promotion pages in your store, and to sublicense third parties to use it for the above purposes and in the above manner.
3.6.4 [Data Use] All rights (including copyright, trademark rights, patent rights, trade secrets, and other related rights) to all official products, technologies, software, programs, data, and other information (including text, icons, images, photos, audio, video, charts, color combinations, layout design, etc.) launched by ALIBABA belong to ALIBABA and its affiliates. Except for data that you are legally entitled to use commercially under applicable laws, you agree not to use any other data on ALIBABA for commercial purposes, including but not limited to using any materials displayed by other users on the ALIBABA site by means of copying, dissemination, or disclosure to third parties without ALIBABA's prior written approval.
3.6.5 [Information Disclosure] To the extent permitted by law, if consumers or rights holders request ALIBABA to obtain the name/company name, ID number, address, and contact information of the business entity operating your store based on reasonable needs for protecting their rights by filing complaints with relevant authorities or in court, you agree that ALIBABA may disclose the aforementioned information to them.
3.6.6 [Personal Information Protection] You must strictly comply with the requirements of laws related to cybersecurity and data protection. Specifically, when collecting, using, and sharing information involving ALIBABA platform user personal information during your store operations, you must adhere to the principles of legality, legitimacy, and necessity, and must not violate relevant laws or agreements between you and users. This includes: without further authorization from the user, you should only use necessary transaction-related information such as user order information for the purposes stipulated in the ALIBABA Privacy Policy, namely, to satisfy users' purchase of goods or services and to complete after-sales service; you are prohibited from using user information without their explicit consent or beyond the scope of their authorization, or illegally providing user personal information to others.
If the information you submit to the platform involves sensitive personal information such as a copy of the legal representative's ID card or their ID card number, you guarantee that you have obtained the explicit consent of the relevant personal information subject, and that the relevant uses and actions comply with the individual's wishes and the requirements of relevant laws.
3.6.7 [Personal Information Security] You should take necessary technical measures to ensure data security. In the event of an actual or potential information security risk, you should immediately take remedial measures, promptly inform users as required, and report to the relevant competent authorities.
3.6.8 [Trade Restrictions] Please pay attention to and strictly abide by any import/export controls, trade restrictions, and economic sanctions laws and regulations that may affect your transactions to avoid losses to you or the buyer. You must also ensure compliance with all import/export related laws and regulations applicable to the software, technology, and services of this platform. Based on the need to maintain the transaction order and security of the ALIBABA platform, if you violate the foregoing commitments, ALIBABA may proactively take actions such as removing the product listing and closing related transaction orders upon discovering the aforementioned situation.
3.6.9 [Entity Information] Under this agreement, the ALIBABA seller service provider may change due to ALIBABA's business adjustments. The changed ALIBABA seller service provider will jointly perform this agreement with you and provide services to you. Changes to the ALIBABA seller service provider will not affect your rights under this agreement. ALIBABA seller service providers may also be added due to the provision of new seller services. If you use the newly added seller services, it will be deemed that you agree that the newly added ALIBABA seller service provider will jointly perform this agreement with you. In the event of a dispute, you can determine the entity performing the contract with you and the opposing party in the dispute based on the specific services you use and the specific actions affecting your rights.
IV. Fees
4.1 ALIBABA incurs significant costs for the services it provides to you. Except for services explicitly charged by ALIBABA, the services currently provided to you by ALIBABA are free. If ALIBABA charges you reasonable fees in the future, ALIBABA will take reasonable steps and notify you in advance through legal procedures and in the manner stipulated in Article 8 of this Agreement, ensuring you have full right to choose.
V. Limitation of Liability
5.1 [Force Majeure and Third-Party Causes] ALIBABA fulfills its basic guarantee obligations in accordance with the law. However, ALIBABA shall not be liable for breach of contract for any obstacles, defects, delays, or changes in the performance of the contract caused by the following reasons:
(i) Force majeure events such as natural disasters, strikes, riots, wars, government actions, or judicial/administrative orders;
(ii) Public service factors such as power supply failures or communication network failures, or factors caused by third parties;
(iii) Routine or emergency equipment and system maintenance, equipment and system failures, and network information and data security, provided that ALIBABA has exercised good faith management.
5.2 [Massive Information] Given ALIBABA's massive information volume and the separation of information and physical goods in the information network environment, except where expressly stipulated by law, ALIBABA is not required to conduct prior review of all seller and buyer transactions and other related matters. However, if ALIBABA is notified by consumers, regulatory authorities, rights holders, or other third parties, or if ALIBABA, based on comprehensive big data analysis of goods, transactions, or stores, discovers that a seller, product, or information has product quality issues, intellectual property infringement, transaction fraud, or other illegal/improper behavior that may violate relevant laws and regulations or this agreement, you acknowledge that ALIBABA makes reasonable judgments based on generally accepted standards and platform procedures regarding the relevant content. ALIBABA may, depending on the circumstances, issue inquiries or requests for corrections to the seller, or directly delete relevant information, take restrictive measures against the store, or suspend services. Except in cases of intentional or gross negligence on ALIBABA's part, ALIBABA is exempt from liability for the aforementioned judgments and actions.
5.3 [Mediation Decision] You understand and agree that in the dispute mediation service, ALIBABA's customer service and public reviewers are not professionals and can only judge the evidence submitted by users and/or sellers based on general public understanding. Therefore, except in cases of intentional or gross negligence, the mediator shall be exempt from liability for the dispute mediation decision.
VI. User Breach of Contract and Handling
6.1 Breach of Contract Determination
You shall be deemed to be in breach of contract if any of the following occurs:
(i) You violate relevant laws and regulations when using ALIBABA seller services;
(ii) You violate the provisions of this Agreement;
To adapt to the development of e-commerce and meet the needs of a massive number of users for efficient and high-quality services, you understand and agree that ALIBABA may stipulate the procedures and standards for breach of contract determination in ALIBABA's relevant rules. For example, ALIBABA may determine whether you have breached the contract based on the relationship between your user data and massive user data; you have an obligation to provide sufficient evidence and reasonable explanation for any abnormalities in your data, otherwise you will be deemed to be in breach of contract.
6.2 Breach of Contract Handling Measures
【Information Processing】If the information you post on ALIBABA constitutes a breach of contract, ALIBABA may immediately delete or block the relevant information, or remove or monitor your products, in accordance with relevant rules.
【Behavioral Restrictions】If your actions on ALIBABA, or actions that, while not performed on ALIBABA, affect ALIBABA and its users, constitute a breach of contract, ALIBABA may, in accordance with relevant rules, take measures against you such as deducting points from your account, restricting your participation in marketing activities, suspending some or all services provided to you, and deducting penalties. If your actions constitute a fundamental breach of contract, ALIBABA may freeze your account and terminate the provision of services to you.
【Public Disclosure of Processing Results】ALIBABA may publicly disclose information regarding the aforementioned breach of contract measures against you, as well as other illegal information confirmed by effective legal documents issued by national administrative or judicial authorities, on ALIBABA.
6.3 Liability for Damages
If your actions cause losses to ALIBABA and/or its affiliates, you shall be liable for damages in accordance with this Agreement. The losses you are obligated to compensate ALIBABA and/or its affiliates for (if any) such losses include:
(i) Reasonable attorney fees, litigation costs, and necessary expenses incurred in eliminating the impact;
(ii) Fines, penalties, or damages incurred due to administrative penalties, judicial judgments, or mediation within the statutory standards;
(iii) Loss of goodwill and reasonable expected profits (such as loss of customers, reduced spending, decreased purchase frequency, and reduced income for store operators), the specific amount of which may be calculated based on relevant estimation standards derived from independent and reasonable third-party analysis, ALIBABA's reasonable analysis based on big data, and other reasonable methods for calculating gains and losses;
(iv) Other losses suffered as a result.
If your actions cause ALIBABA and/or its affiliates, or Alipay, to be subject to claims by third parties, ALIBABA and/or its affiliates, or Alipay, may seek recourse from you for all losses after fulfilling their obligations to the third parties, including monetary payments. If your actions cause losses to a third party, or if you fail to comply with a mediation decision, ALIBABA and/or its affiliates may, for the purpose of protecting public interests or consumer rights, instruct Alipay to deduct the corresponding amount from your Alipay account for payment. If your Alipay balance or security deposit is insufficient to pay the corresponding amount, you agree to authorize ALIBABA to use its own funds to pay the aforementioned amount on your behalf, and you shall return that portion of the fee and compensate ALIBABA for all losses incurred as a result.
You agree that ALIBABA may instruct Alipay to deduct the corresponding amount from your Alipay account to pay the aforementioned compensation. If the funds in your Alipay account are insufficient to pay the aforementioned compensation, ALIBABA and/or its affiliates may directly offset your rights under other agreements with ALIBABA and/or its affiliates, and may continue to pursue recovery.
VII. Amendments to the Agreement
ALIBABA may amend this Agreement from time to time in accordance with changes in national laws and regulations and the need to maintain transaction order and protect consumer rights. The amended agreement (hereinafter referred to as the "Amendments") will be notified to you through legal procedures and in the manner stipulated in Article VIII of this Agreement. The amendments to this Agreement, once effective, will supplement your and ALIBABA's rights and obligations and become part of this Agreement.
If you disagree with the changes, you have the right to contact ALIBABA to provide feedback before the effective date of the changes. If the feedback is adopted, ALIBABA will adjust the changes accordingly.
If you still disagree with the effective changes, you should cease using ALIBABA seller services from the effective date of the changes, and the changes will not be effective against you; if you continue to use ALIBABA seller services after the changes take effect, it will be deemed that you agree to the effective changes.
VIII. Notifications
8.1 Valid Contact Information
When you register as an ALIBABA seller and accept ALIBABA seller services, you should provide ALIBABA with true and valid contact information (including your email address, telephone number, contact address, telegram, etc.). If your contact information changes, you are obligated to update the relevant information promptly and maintain a state of being contactable.
The contact information you generate when registering as an ALIBABA platform user to log in to the ALIBABA platform and receive internal messages and system messages is also considered your valid contact information.
ALIBABA will send various notices to you through one or more of the contact methods mentioned above. The content of such notices may have a significant positive or negative impact on your rights and obligations; please pay close attention to them.
8.2 Service of Notices
ALIBABA will send notices to you through the above contact methods, including but not limited to ALIBABA announcements, SMS messages to the contact number you provided, emails to the email address you provided, and telegrams to the telegram address you provided. Service is deemed complete upon successful transmission. Written notices sent in paper form will be deemed served on the fifth calendar day after being mailed to the provided contact address.
For any disputes arising from transactions on ALIBABA, you agree that judicial authorities (including but not limited to people's courts) may serve you with legal documents (including but not limited to litigation documents) through modern communication methods such as SMS, email, or AliWangWang, or by mail. The mobile phone number, email address, and other contact information you designate to receive legal documents are the mobile phone number and email address you provided when registering and updating your ALIBABA account, as well as the AliWangWang account generated when registering your ALIBABA user account. Service is deemed complete upon judicial authorities sending legal documents to the aforementioned contact methods. The mailing address you designate is your legal contact address or a valid contact address you provide.
You agree that the judicial authorities may use one or more of the above methods of service to deliver legal documents to you. If the judicial authorities use multiple methods to serve legal documents to you, the earliest service method among the above-mentioned methods shall prevail.
You agree that the above methods of service apply to all stages of judicial proceedings, including but not limited to first instance, second instance, retrial, enforcement, and summary proceedings.
You must ensure that the contact information you provide is accurate and valid, and that it is updated in a timely manner. If legal documents cannot be served or are not served in a timely manner due to inaccurate contact information or failure to promptly notify you of changes to your contact information, you shall bear the legal consequences arising therefrom.
IX. Termination of Agreement
9.1 Circumstances for Termination
【Seller-Initiated Termination】You have the right to terminate this Agreement in any of the following ways:
(i) You cancel your account through the website's self-service when the account cancellation conditions published by ALIBABA are met;
(ii) You cease using the service and expressly indicate your unwillingness to accept the changes before the changes take effect;
(iii) You expressly indicate your unwillingness to continue using the seller service, and you meet ALIBABA's termination conditions.
[Termination Initiated by ALIBABA] ALIBABA may terminate this Agreement by notifying you of the following circumstances, as listed in Article 8:
(i) You breach this Agreement, and ALIBABA terminates this Agreement in accordance with the breach of contract clause;
(ii) You steal another person's account, publish prohibited information, defraud others of property, sell counterfeit goods, disrupt market order, or seek profit through improper means, and ALIBABA seals your account in accordance with ALIBABA rules;
(iii) In addition to the above circumstances, you repeatedly violate relevant provisions of ALIBABA rules and the circumstances are serious, and ALIBABA seals your account in accordance with ALIBABA rules;
(iv) You commit fraud on the platform, publish or sell counterfeit/infringing goods, infringe upon the legitimate rights and interests of others, or engage in other serious illegal or breach of contract acts;
(v) Other circumstances that warrant termination of service.
9.2 Post-Termination Handling
[Disclosure of User Information] After the termination of this Agreement, unless expressly provided by law, ALIBABA has no obligation to disclose any information in your account to you or any third party designated by you. [ALIBABA Rights] Upon termination of this Agreement, ALIBABA shall retain the following rights:
(i) To continue to retain all information you have left with ALIBABA as listed in Article 3.6 of this Agreement;
(ii) ALIBABA may still pursue your liability for breach of contract under this Agreement for any past breaches of contract.
[Transaction Processing] Upon termination of this Agreement, for any transaction orders you placed during the term of this Agreement, ALIBABA may notify the counterparty and decide whether to close such transaction orders based on the counterparty's wishes; if the counterparty requests continued performance, you shall continue to perform the terms of this Agreement and the transaction orders for such orders, and bear any losses or additional costs incurred as a result.
10. Governing Law, Jurisdiction, and Other Provisions
【Governing Law】The formation, effectiveness, interpretation, amendment, supplementation, termination, performance, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China (excluding Hong Kong, Macau, and Taiwan). Where no applicable laws exist, commercial practices and/or industry practices shall apply.
【Jurisdiction】Any dispute arising from or relating to your use of this Service shall be resolved through negotiation between you and ALIBABA. If the negotiation fails, either party may bring suit in a people's court with jurisdiction in the defendant's domicile.
【Severability】If any provision of this Agreement is deemed void, invalid, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions of this Agreement. XI. Attachments

To jointly build an honest and transparent online consumer environment, jointly maintain a fair and standardized online business order, and jointly promote the healthy and sustainable development of the e-commerce ecosystem, this store (I) hereby make the following commitments to the general public and ALIBABA:
